These General Terms and Conditions (hereinafter "GTC") govern the relationship between the customer and zettatec GmbH
1. Scope
1.1. These General Terms and Conditions (GTC) apply to all contracts, services, and deliveries between zettatec GmbH (hereinafter "zettatec") and its customers (hereinafter "Customer").
1.2. Deviating terms and conditions of the Customer will only be recognized if they have been confirmed in writing by zettatec.
1.3 The GTC apply both to one-time services and to recurring service and maintenance contracts.
2. Contract Conclusion
2.1. A contract between zettatec and the Customer is concluded when the Customer accepts the offer from zettatec.
2.2. The offer can be in written, electronic, or oral form.
3. Scope of Services
3.1. zettatec provides services in the areas of IT infrastructure, servers and networks, in the development of applications and interfaces, as well as in troubleshooting on-site or remotely.
3.2. The specific scope of services is defined in a separate offer, contract, or order confirmation.
3.3. zettatec is entitled to have services performed by qualified subcontractors.
4. Remuneration and Payment Terms
4.1. The remuneration is based on the agreed hourly rate, flat rate, or service contract.
4.2. All prices are in Swiss Francs (CHF) including VAT, unless explicitly stated otherwise.
4.3. Invoices are due for payment within 30 days of the invoice date without deduction, unless otherwise specified in a separate offer.
4.4. In case of late payment, zettatec is entitled to charge default interest of 5% p.a. as well as reminder fees.
4.5. zettatec reserves the right to hand over its overdue claims against the Customer to a collection agency. The Customer undertakes to bear all associated costs.
5. Response Times and Availability
5.1. zettatec endeavors to perform support services in a timely manner but cannot guarantee specific response times unless they are expressly agreed upon in the contract.
5.2. No liability can be assumed for delays due to force majeure, unforeseen operational disruptions, or failures of telecommunications or power networks.
6. Warranty and Liability
6.1. zettatec provides its services according to the current state of the art and with due care.
6.2. zettatec does not guarantee that specific economic goals will be achieved or that the services are exactly suitable for the Customer's purpose.
6.3 The liability of zettatec is, to the extent permitted by law, limited to intentional or grossly negligent behavior.
6.4. zettatec is only liable for data loss, production outages, or indirect damages if these were caused by gross negligence or intent and the Customer has fulfilled its obligation to back up data.
7. Property Rights and Usage Rights
7.1. For programs, scripts, or interfaces developed by zettatec, the Customer receives, unless otherwise agreed, a simple, non-transferable right of use.
7.2. The property and copyrights remain, unless otherwise agreed, with zettatec.
7.3. The Customer is not entitled to reproduce, modify, or make available to third parties programs or parts thereof without the written consent of zettatec.
8. Data Protection and Confidentiality
8.1. zettatec commits to complying with Swiss data protection legislation (DSG) and, to the extent applicable, the GDPR.
8.2. All information disclosed in the course of the collaboration is considered confidential and may not be passed on to third parties without the consent of the other party.
9. Contract Duration and Termination
9.1. Unless otherwise agreed, service contracts are concluded for an indefinite period and can be terminated by either party with a notice period of 30 days to the end of the month.
9.2. The collaboration between zettatec and the Customer is as an independent contractor. These GTC do not create an employment relationship or a partnership between the parties.
10. Applicable Law
These GTC are governed by the laws of Switzerland. The exclusive place of jurisdiction for all disputes arising from or in connection with these GTC is the registered office of zettatec.
11. Changes to the GTC
zettatec reserves the right to change these GTC at any time. If such a change involves price increases or service restrictions to the detriment of the customer during the contract term, zettatec will inform the affected customers accordingly. The Customer has the right to terminate the agreement if they do not agree to the changes.
12. Final Provisions
If a provision of these GTC is declared invalid or unenforceable, this shall not affect the validity or enforceability of the remaining provisions.
